Terms and Conditions

These Terms and Conditions ("Terms") govern your (“you”, “your” or “User”) access to, and use of the CompactHR software application ("Application") provided by BureauNet Limited, trading as Compact HR, ("we", "our", or "us").

1.   Acceptance of Terms

By accessing and using the Application, you accept and agree to be bound and abide by these Terms and our Privacy Policy.

2.   Payroll Provider

The Entity that processes your payroll and has agreed to pay the cost of the Application on your behalf, for as long as it continues to provide services to you, or as separately agreed.

3.   Application

Consists of the Compact ‘Core’ HR package, and/or the Compact Core HR & Payroll Report package, to which you contact under these Terms and for which your Payroll Provider pays the cost.

4.   Other Services

CompactHR provides other HR services, over and above the Application, to which you may separately subscribe, and pay for.

5.   User Obligations

You agree to use the Application in compliance with all applicable laws and regulations.

You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account.

6.   Data Protection and Privacy

We are committed to protecting the privacy and security of your personal data. Our data collection and use practices are outlined in our Privacy Policy, which is in compliance with the General Data Protection Regulation (GDPR).

7.   Intellectual Property Rights

All intellectual property rights in the Application are owned by us or our licensors.

Except as expressly set forth herein, these Terms do not grant you any rights in or to our intellectual property.

8.   Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any direct, indirect, punitive, incidental, special, or consequential damages arising out of or in any way connected with the use of or access to the Application.

9.   Indemnification

You agree to indemnify, defend, and hold harmless BureauNet Limited, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, liabilities, expenses, damages, and costs, including without limitation attorneys' fees, arising from or relating in any way to your use of the Application.

10. Governing Law

These Terms shall be governed by the laws of the United Kingdom, without regard to its conflict of laws principles.

11. Changes to Terms

We reserve the right to change these Terms at any time. Updated versions of the Terms will be posted on the Application and are effective immediately.

12. License to Use:

We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Application in accordance with these Terms.

13. Service Availability:

We strive to maintain the availability of the Application but there may be occasions when access may be interrupted for maintenance, upgrades, or emergency repairs.

14. Dispute Resolution:

Any disputes arising out of these Terms or the use of the Application will be resolved through final and binding arbitration, rather than in court.

15. Pricing:

Your Payroll Provider will pay all fees in relation to providing the Application. You will be responsible for paying for any additional services for which you contract separately with us.

16. Termination:

During any Trial Period that your Payroll Provider gives you, you may terminate this Applica at any time, by giving us immediate notice, in writing by email. At the end of any Trial period, you may continue to use the Application if you and your Payroll Provider have agreed to do so by email, in writing.

During any Trial Period, we may terminate this Agreement by giving you one month’s notice in writing, by email.

Where you continue to use the Application after the Trial Period, both you and we may terminate this Agreement by giving the other one month’s notice in writing, by email.

17. Warranties and Disclaimers:

The Application is provided on an "as-is" and "as-available" basis without any warranties of any kind, either express or implied.

18. Third-Party Links or Services:

The Application may contain links to third-party websites or services, which are not controlled by us. We are not responsible for the content or practices of these sites.

19. Severability:

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect.

20.  Notices:

We may provide notices to you via email or through notifications within the Application. You may provide notices to us via email at support@compacthr.com

21. Personal Data:

Refers to any data that relates to an identifiable individual.

22. Entire Agreement:

These Terms and Conditions constitute the entire agreement between you and CompactHR regarding your use of the Application, superseding any prior agreements between you and CompactHR regarding your use of the Application.
